DEED OF EASEMENT
- THIS DEED OF EASEMENT, made -this I :,a,
y of February,1996 by and between RYE BROOK DEVELOPMENT P TN owner in fee
of Lot #1, a New York Partnership with its principal place of
business located at c/o Spectrum Group Ltd, , 115 Stevens Avenue,
Valhalla, New York 10595 (hereinafter referred to as "Grantor") and
HIDDEN FALLS AT RYE BROOK HOMEOWNERS SOCIATION, INC. ,
(hereinafter referred to as the "Grantee") . (.

Grantor is the fee owner of Lot #1, the real property
shown and described on a certain "Subdivision Map of Rye Brook
Estates" situate in the Village of Rye Brook, Westchester County,
New York and which map was prepared by Charles H. Sells, Inc. ,
Civil Engineers and Surveyors, Bedford Hills New York and filed in
the County of Westchester as Map No. 23809 on July 28, 1989
(hereinfafter referred to as the "Grantor") .
WITNES SETH
WHEREAS, the Grantor (owner in fee of Lot #1)

acknowledges that a de minimis adjustment of forty-two (42) square
feet of the lot area is necessary to service, inter-alia, Lot #2
on the Subdivision Map above referred to; and
WHEREAS, the adjustment is as of such a de minimis nature
and in no way interferes with the health, safety and welfare of the
parties using that portion of HOA-1 as shown on Map No. 23809 ; and
WHEREAS, the said de minimis adjustment is recited in the
legal description annexed hereto and made a part hereof prepared
by Charles B. Sells, Inc. together with the drawing prepared and
annexed hereto and made a part hereof showing an area of forty-two
(42) square feet, and
WHEREAS, the Grantor wishes to accommodate the Grantee,
their heirs, successors and assigns by providing this Easement for
encroachment.
NOW, THEREFORE, the Grantor for and in consideration of
ONE AND 00/100 ($1.00) DOLLAR, lawful money of the United States,
and other good and valuable considerations do hereby grant and
release to Grantee a perpetual Easement relating to the forty-two
(42) square feet and that the Grantee may enter the areas shown on
the attached exhibit for the purpose of making repairs and service
of the area and further said Easement shall be permanent and shall
run with the land.
IN WITNESS WHEREOF, -the Grantor-hereto has executed this
Agreement the day and year above written.

MITCHELL HOCHBERG to me known, who, being by me duly sworn, depose
and say that he resides at Madden Place, Harrison, New York 10528,
that. he is the President of Brook Two Ventures, Inc. , the managing
partner of Rye Brook Development Partners, a New York corporation
which executed the foregoing instrument; that he knows the seal of
said corporation; that the seal affixed to said instrument is such
corporate seal; that it was so affixed by order of the Board of
Directors of said corporation, and that he signed his name thereto
by like order.

ALL that certain lot, piece or parcel of land situate, lying and being in the Village of Rye
Brook, County of Westchester and State of New York, shown and designated as a portion of Lot
1 on a certain map entitled "Subdivision Map of Rye Brook Estates" dated January 20, 1989 and
filed July 28, 1989 in the Westchester County Clerks Office, Division of Land Records, as Map
number 23809 and more particularly bounded and described as follows:
BEGINNING at a point on the division line between Lot HOA 1 on the west and Lot 1
on the east as shown on the above mentioned filed map, said point being South 26'25'00" West
a distance of 42.00 feet along said division line from a point on the south bounds of lands now
or fomerly S. Rothenberg, thence; through the lands of said Lot 1 the following three courses
and distances:
1. South 63° 35'00" East 2.00 feet
2. South 26125'00" West 21.00 feet
3. North 63' 35'00" West 2.00 feet to a point on the division line of Lot HOA 1 and
Lot 1, thence; North 26' 25'00" East 21.00 feet alsing said division line to the
POINT AND PLACE OF BEGINNING.
