HomeMy WebLinkAboutEasement Recorded (27) �sLIBER 9744 PAGE 175 a , M ' i RYE BROOK DEVELOPMENT PARTNERS, A NEW YORK x PARTNERSHIP : i i DEED OF EASEMENT AND RIGHT OF WAY FOR PLACEMENT OF PIPELINE THIS AGREEMENT, made this 5 day of N ti , 1989 by and between Rye Brook Development Partners, A New York Partnership, having an office c/o Alamit Properties, Inc., at the Centre at Purchase, Purchase, New York 10577, hereinafter referred to as the "GRANTOR", and New York American Water Co., Inc., a public corporation organized and existing under the laws of the State of New York, having its principal office and place of business at 25 Willet Avenue, Port Chester, New York ! 10573, hereinafter referred to as the "GRANTEE", • ' ` w1TN SSETH, WHEREAS, the GRANTOR is the owner of a certain tract of land (described in Schedule A attached hereto) situate, lying and E being in the Town Of Rye, Village of Rye Brook, County of Westchester and State of New York, and which tract of land is more particularly described in a deed dated �7N. 19, 19F9 E from Brook Two Ventures, Inc. to GRANTOR, ana recorded in the I Office of the Clerk of the County of Westchester, Division of Land Records, on the _ f Sr day of �x , 19GR in 1 Liber _ of Deeds at Page an WHEREAS GRANTEE desires desires to place water mains and appurtenant structures for the transmission and distribution of water through, in or upon i GRANTOR'S property; t i NOW THEREFORE, in consideration of the promises and the mutual covenants and agreements herein contained, the parties hereto, intending to be legally bound hereby, and for good valuable consideration, receipt of which is hereby acknowledged, have agreed and by these presents do agree as follows: FIRST, the GRANTOR does hereby give, grant and convey unto the GRANTEE a perpetual and permanent Easement and Right of Way hereby granted covers a strip of land, particularly described by metes and bounds as set forth in Schedule B, z Ib�-+,• pr- sect 944 {i iI . i I a �f _1 URR .9744PAGE176 - �# attached hereto. said Easement and Right of Way is conveyed to GRANTEE, its successors and assigns, to have and to hold forever, and shall be used by the GRANTEE to enter upon GRANTOR'S property, as described inSchedule A, at any time GRANTEE may see fit, without notice to GRANTOR, for the purpose of (i) constructing, installing, maintaining, operating, inspecting, repairing, replacing, or relocating underground pipelines and/or mains (and structures appurtenant thereto, including, but not limited to, valves, hydrants, and fittings) )hereinafter, collectively "water mains") to convey water over, across, through and under the lands described in Schedule A, (ii) excavating and refilling ditches and or trenches for the placement of said water mains, (iii) cutting and removing trees and brush from the easement area; pruning I! limbs and branches from trees situated thereon; chemically ! treating and removing weeds therefrom; removing general debris therefrom; and planting, maintaining and replacing screening } trees and shrubbery thereon; (iv) relocating said water mains . # as may be deemed necessary and appropriate by GRANTEE; and (v) transporting and pumping water through and by means of the water mains; SECOND, GRANTOR hereby authorizes and empowers the said GRANTEE, its agents, servants, workers, successors and assigns to enter in and upon the said property with tools, materials, and equipment for the purposes expressed in the Paragraph 'FIRST" above. The GRANTOR hereby authorizes for the GRANTEE, its successors and assigns, to enter in and upon the Easement y and Right of Way with persons and machinery, vehicles and material, at any and all times for the purposes expressed in paragraph "FIRST" above, and for doing anything necessary, useful or convenient for the enjoyment of the easement herein granted. It is further agreed that no person.except duly f authorized employees or agents if the GRANTEE shall do any work upon, to or affecting any of the said water mains; i i THIRD, GRANTOR agrees that it will enter into an extension deposit agreement with the GRANTEE for the installation of such water mains and services as may be necessary to properly service the GRANTORS property. a FOURTH, it is agreed that the said water mains shall at all times remain the property of, and subject to the sole control 4 of, GRANTEE, its successors and assigns, forever. i • i i p �iaER 974 PAGE 177 T� FIFTH, after installing, maintaining, repairing, replacing or li relaying the said water mains, the streets or other easement areas shall be restored by the GRANTEE to the same condition as they were prior to such work, provided that the GRANTEE !,3 shall not be landscaping,obligated to restoreI <+ resoddin g an g y grass which was removed upon entry; other than try; SIXTH, PRIOR RIGHTS. The GRANTOR agrees that in the event of any change in ownership of, or the dedication of, any of the land in which the water mains of the GRANTEE are installed hereunder, such transfer or change of title shall only be made expressly subject to the rights of the GRANTEE under this Dead of Easement and Right of Way. Any mortgages or liens on the property shall be subordinated hereto, by a document in the form of Exhibit 1 hereto, and evidence of ownership and such subordination shall be furnished to the GRANTEE at the time of the execution of this agreement; 1; SEVENTH, LINES AND GRADES. The GRANTOR agrees that before he commencement of installation of water mains by the GRANTEE, he will clearly indicate upon the ground, by means of stakes or in some other equally definitive manner, the exact lines and grades to which the street, highway, or land through which the said water mains are to be laid is to be finally built, and that GRANTOR will grade the said street, highway, or land so that it will be at all points within of said finished grades beforethe GRANTEE tcommences othe(work of installing the said water mains. The GRANTEE, however, shall not be required to lay its water mains according to any lines or grades of which it does not a agreed that if, at an time herded. ti is further y prior to the dedication and �acceptance as a public street or highway by the Village of Rye Brook of any street or highway under which water mains are to be laid in conformity with this agreement, it shall become necessary to change, or move the said water mains by reason of any change or alteration in the lines or grades of the street, highway, or land in which they are laid as may be deemed necessary by GRANTEE, then the expense of such change, including moving the said water mains, and any other expense i incidental thereto, shall be borne solely by GRANTOR, and shall in no event be charged to or borne by the GRANTEE. Furthermore, the GRANTOR agrees that the GRANTEE shall not be obligated to make any taps or to install any service lines, until the line and grade of the curb line (and sidewalk, when . i applicable), have been clearly indicated by stakes, and where the curbs (and sidewalks, if applicable) have not yet been (t { uBER 9744PhoC17 • } constructed, until driveway locations are clearly indicated by stakes. r EIGHTH, ADJACENT CONSTRUCTION, DAMAGE To WATER MAINS. It is agreed by the GRANTOR that he will not build nor allow to be ? built at any time hereafter, any structure on, in or over the said property described in Schedule B. No other pipes or conduits shall be laid within ten (10) feet, measured i horizontally, from the said water mains except pipes crossing the same at right angles, in which latter case, a minimum 1 distance two (2) feet shall be maintained between the pipes. !` All sewer pipe shall be laid below the water mains. No excavation or blasting shall be carried on which in any way endangers or might endanger the said water mains. However, should the GRANTOR wish to relocate the said water mains, he may, at his own expense, provide a new location for the said water mains, and if such location shall be acceptable to the GRANTEE, then GRANTEE will then move said water mains to said new location, provided that the whole cost of such moving and altering, and any expenses incidental thereto, shall be borne by the GRANTOR. It is further understood and agreed that in case of any damage to,the water mains, or other injury to the property of the GRANTEE in connection therewith, which is 1 caused by the acts or neglect of the GRANTOR, the amount of i such damage and any damage consequential thereto shall be paid to the GRANTEE by the said GRANTOR. NINTH, CERTIFICATE OF DOING BUSINESS. It is further understood and agreed that the GRANTOR will furnish to the GRANTEE (i) a certificate of doing business, if a single proprietor, or (ii) a partnership certificate, if a partnership, as required. TENTH, IT IS FURTHER UNDERSTOOD AND AGREED that this contract shall bind the heirs, legal representatives, successors, and assigns of the parties hereto, and shall run with the land, and that this contract shall be duly recorded in the Office of the Clerk of the County of Westchester, ❑ivision of Land Records, State of New York. ELEVENTH.
