This Order requires Seller to meet Pomara Builders Inc.'s critical path schedule. 5. INSPECTION Materials or equipment purchased hereunder are subject to inspection and approval at Buyer's destination.Buyer reserves the right to reject and refuse acceptance of items or services which are not in accordance with the instructions,specifications,drawings and data or Sellers warranty(express or implied).Buyer will charge Seller for the cost of inspecting merchandise or services rejected. Items not accepted will be returned to Seller at Sellers expense and Seller agrees to accept the same. Payment for any article hereunder shall not be deemed an acceptance thereof. 6. WARRANTY Seller expressly warrants that all articles,assemblies,parts and materials fumished under this Order(a)will correspond with the description thereof contained herein and with specifications,if any, attached hereto and made a part hereof(Seller shall carefully study and compare all manufacturers numbers,quantities,descriptions,special instructions and discrepancies the Seller observes,and shall at once report to the Architect any error,inconsistency or omission so discovered);(b)will be free from defects in labor,materials or fabrication;(c)will be free and clear of ali liens and encumbrances,Seller hereby warranting to Buyer good and merchantable title thereto;and(d)will be fit for the use intended by Buyer.All of said warranties shall survive acceptance and shall run to Buyer,its successors and assigns,and all of said warranties shall be construed as conditions as well as warranties and are in addition to and not to the exclusion of other warranties,express or implied. 7. (D) Payment from Buyer to Seller shall be due by the end of the month that follows the month in which seller's invoice is received by the Buyer. (E) In the event that Owner reduces its retainage for Buyer,Buyer may nevertheless continue to hold a full retainage on this Order and need not reduce Buyer's retainage accordingly. 9. RENTAL CHARGE LIMIT (A)In the event that this Order pertains to equipment rental,Buyer and Seller agree that the rental charges for equipment shall at no time exceed: (1)100%of Seller's cost basis for forklift,backhoe,or similar material-handling equipment;or (ii)150%of Seller's cost basis for all other equipment and hand tools; (B)For purposes of this paragraph,Seller's cost basis shall be the lesser of: (i)the amount for which the piece of equipment is insured on Sellers equipment owner's policy;or (ii)the amount of which the piece is carried on Seller's asset balance sheet with due reduction for depreciation taken. (C)Seller agrees to produce copies of its equipment insurance policy and relevant asset balance sheet,as above referenced,upon demand. (D)In the event that the rental charge for any piece of equipment exceeds 50%of Seller's cost basis as above defined,Buyer shall have the option to purchase said piece of equipment from Seller at a price equal to 125%of the cost basis as defined in(B)(il)above. 11. CHANGES (A)Buyer shall have the right to make changes from time to time in any of the designs,specifications,packing,destination,delivery schedule or quantity of any item of this Order.If such changes cause an increase or decrease In the cost of performance of this Order or In the time required for its performance,an equitable adjustment shall be negotiated promptly and the Order shall be modified in writing accordingly.Any claim by Seller for adjustment under this clause must be asserted in writing within seven(7)days from the date of receipt by Seller of notification of the change and shall be followed within an additional seven(7)days with a specification of the amount claimed and supporting cost figures. (B)Buyer specifically reserves the right,based on field operations and observations and based on a time and materials analysis,to reevaluate all change orders submitted by Seller when the project or a particular component thereof is complete and to revise the Order with Seller and to submit to Seller said revised Order with respect to Buyer's obligations to purchase services and/or materials covered by said change orders.The parties understand that the amount set forth in any change order shall be considered a maximum,an amount"not to be exceeded",in completing said change order. ASSIGNMENTS This Order and any payments to be made hereunder shall not be assigned or transferred either by assignment or operation of law,without prior written approval of Buyer.Seller shall not order any substantial portion of the work to be performed by it under this Order without the prior written consent of Buyer. 14. INSOLVENCY The insolvency,the filing of a voluntary petition in bankruptcy,the filing of an involuntary petition to have the party declared bankrupt provided it is not vacated within 30 days thereafter,the appointment of a receiver or trustee for either party provided such appointment is not vacated within 30 days thereafter,the execution of an assignment for the benefit of creditors by either party or the merger or reorganization of Seller or of a sale of a substantial portion of Seller's assets provided that such merger,reorganization or sale shall materially,adversely affect Sellers ability to perform the terms of this Order. 15. TITLE Title to the work will pass to Buyer upon completion of Settees obligations with respect to delivery or installation,as required,and risk of loss thereafter is on Buyer. 16. CLAIMS (A)Al Buyer's option,all claims,disputes and other matters in question between Seller and Buyer arising out of or relating to this Order,shall be decided by arbitration;the arbitration shall be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association then obtaining unless the parties mutually agree otherwise.This obligation to arbitrate shall be specifically enforceable under the prevailing arbitration law.The award rendered by the arbitrators shall be final,and judgement may be entered upon it in accordance with applicable law in any court having jurisdiction thereof. Buyer also shall have the option to consolidate with any claims hereunder any or all other claims that Buyer may have with others arising out of the same project.
